3. Client Responsibilities

4. Payment Terms

4.1 The Client agrees to pay Zayleb Digital, LLC according to the agreed-upon payment terms, including any upfront fees, milestone payments, or recurring charges.

4.2 Late payments may be subject to interest or additional fees.

5. Intellectual Property

5.1 Zayleb Digital, LLC retains intellectual property rights to any designs, code, or materials created during the provision of Services until full payment is received.

5.2 Upon full payment, Zayleb Digital, LLC grants the Client a non-exclusive license to use the created website.

6. Project Timelines

6.1 Zayleb Digital, LLC will make reasonable efforts to adhere to agreed-upon project timelines but does not guarantee the completion date.

6.2 Delays caused by the Client, including late provision of information, may result in adjusted timelines.

7. Revisions and Changes

7.1 Minor revisions are included in the Services, while significant changes outside the original scope may incur additional charges.

7.2 The Client must provide clear and timely feedback to facilitate the revision process.

8. Termination of Services

8.1 Either party may terminate the Services upon written notice if the other party breaches any material term of this Agreement.

8.2 Termination does not relieve the Client’s obligation to pay for Services provided up to the termination date.

9. Confidentiality

9.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the provision of Services.

10. Limitation of Liability

10.1 Zayleb Digital, LLC’s liability for any damages arising from the Services is limited to the total fees paid by the Client.

11. Governing Law

11.1 This Agreement is governed by the laws of Florida. Any disputes shall be resolved in the appropriate courts of Florida.

12. Miscellaneous

12.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.

12.2 Modifications to this Agreement must be in writing and signed by both parties.
